These Terms of Service ("Terms") are a binding agreement between you and Hardware Breakout LLC, doing business as Conn Castle Studios ("Conn Castle Studios," "Company," "we," "us," or "our"), and govern your access to and use of Agent Panel.
In these Terms, "Services" means the Agent Panel marketing site, sign-up and sign-in flows, hosted web application, relay service, support flows, billing flows, and Agent Panel client software. By accessing or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into these Terms. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. Service Description
Agent Panel is a browser workspace for supervising CLI coding agents running on your own machines or machines you control. The Services may include browser-based access to terminals, files, diffs, layouts, session history, relay connections, and related operational tooling.
Agent Panel does not sell or include third-party model access. You are responsible for obtaining and maintaining any external subscriptions, credentials, hardware, operating systems, network access, and third-party software needed to run Claude Code, Codex, Gemini, or any other tools you use with Agent Panel.
3. Accounts, Access, and Security
- You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
- You must provide accurate account and billing information and keep it current.
- You must promptly notify us if you suspect unauthorized use of your account or a security incident involving the Services.
- You remain responsible for securing your own devices, terminals, repositories, secrets, and network environments.
4. Plans, Billing, Renewal, and Cancellation
Agent Panel may offer free and paid plans. Plan features, limits, and pricing may change from time to time. Paid plans are billed through third-party payment processors such as Stripe.
- Paid subscriptions renew automatically until canceled.
- You authorize us and our payment processor to charge the applicable recurring fees, taxes, and any other charges disclosed at checkout or in your billing portal.
- You can cancel renewal through the billing flow made available for your account. Cancellation stops future renewal charges but does not retroactively refund amounts already paid except where required by law.
- We may suspend or downgrade access if payment fails, a charge is reversed, or we reasonably suspect fraud or abuse.
5. Your Machines, Data, and Third-Party Services
You are solely responsible for the machines, repositories, files, prompts, outputs, commands, and other content you connect to the Services. You represent that you have all rights and permissions needed to use that data with Agent Panel.
Agent Panel interoperates with third-party services and software, including authentication, billing, relay infrastructure, and AI-agent tooling. Those services are provided under their own terms and policies, and we are not responsible for their acts, omissions, outages, or changes.
6. License and Intellectual Property
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your internal personal or business use. We reserve all rights not expressly granted.
The Services, including software, designs, visual assets, trademarks, copy, and documentation, are owned by Conn Castle Studios or its licensors and are protected by applicable intellectual-property laws. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from the Services except as allowed by law or with our written permission.
7. Acceptable Use
You agree not to:
- use the Services in violation of law, regulation, or the rights of others;
- interfere with or disrupt the Services, relay infrastructure, networks, or connected systems;
- attempt to bypass limits, rate controls, account boundaries, or security protections;
- probe, scan, scrape, or reverse engineer the Services except as permitted by applicable law;
- use the Services to store, transmit, or facilitate malicious code, credential theft, spam, or unlawful surveillance; or
- use the Services in a way that could expose us or our users to security, legal, reputational, or operational harm.
8. Feedback and Service Improvements
If you send us feedback, ideas, or suggestions about the Services, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, modify, publish, and incorporate that feedback without compensation or obligation to you.
9. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, at any time if we reasonably believe you have violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a way that could harm us, our providers, or other users.
You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and payment obligations.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONN CASTLE STUDIOS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT, FILE CONTENT, DIFF, TERMINAL STREAM, OR OTHER INFORMATION DISPLAYED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONN CASTLE STUDIOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
12. Indemnification
You will defend, indemnify, and hold harmless Conn Castle Studios and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your data, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to the Services or these Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
Before starting formal proceedings, you and Conn Castle Studios agree to try to resolve the dispute informally by written notice and a thirty (30) day discussion period.
Except for disputes that qualify for small claims court, requests for temporary or preliminary injunctive relief, or claims about intellectual-property misuse, any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association in Monroe County, New York. The arbitration will be conducted under the AAA rules that apply to the dispute, including the AAA Consumer Arbitration Rules for consumer matters and the AAA Commercial Arbitration Rules for non-consumer matters.
YOU AND CONN CASTLE STUDIOS AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM.
If the class-action waiver above is found unenforceable as to a particular claim or request for relief, then that claim or request for relief must be litigated in the state or federal courts located in Monroe County, New York, and you and Conn Castle Studios consent to personal jurisdiction and venue there for that limited purpose. Any other dispute must remain in arbitration.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms and update the "Last updated" date on this page. If a revision is material, we may provide additional notice through the Services or by other reasonable means. Unless otherwise stated, changes become effective when posted. Your continued use of the Services after the effective date means you accept the revised Terms.
